This Share Purchase Agreement (this “Agreement”) is dated as of November 24, 2010, by and among China Everhealth Corporation, a British Virgin Islands limited company (the “Company”), Richard I. Anslow and Gregg E. Jaclin, the sole shareholders of the Company (the “Shareholders”), and Mr. Ye Wang, an individual (the “Purchaser”). Each of the Company, the Shareholders and the Purchaser is referred to herein as a “Party” and collectively, as the “Parties.”
