This SHARE EXCHANGE AGREEMENT (this “Agreement”), dated as of June 19, 2013, is by and among Shades Holdings, Inc., a Florida corporation (the “Parent”), Shades of Fragrances, Inc., a Florida corporation (the “Company”), and the Shareholder of the Company signatory hereto (the “Shareholder”).
