This STOCK PURCHASE AGREEMENT is made as of May 15, 2014 by and between CN Resources, Inc., a Nevada corporation (the “Company”), 1547698 Ontario Limited, a company organized under the laws of Ontario, Canada (“Ontario”), and Shanghai Yuankai Group Co., Ltd., a company organized under the law of the People's Republic of China (“Yuankai”). Each of Ontario and Yuankai shall also be referred to as “Purchaser,” and together, as “Purchasers”.
