This LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”) of ENTERGY ARKANSAS RESTORATION FUNDING, LLC, a Delaware limited liability company (the “Company”), is made and entered into as of June 17, 2010 by ENTERGY ARKANSAS, INC., an Arkansas corporation (including any additional or successor members of the Company other than Special Members, the “Member” or “EAI”).

This ADMINISTRATION AGREEMENT, dated as of August 18, 2010 (this “Administration Agreement”), is entered into by and between ENTERGY ARKANSAS, INC.
