This AGREEMENT, entered into as of the 20th day of February 2013 (the “Agreement”), by and among the individuals listed in Schedule A hereto (each individually a “Seller”, and collectively, the “Sellers”), Lyons Liquors Inc, a Nevada corporation (the “Company”), and the individuals listed in Schedule B hereto (each individually a “Purchaser”, and collectively, the “Purchasers”).

The Purchaser subscribes for and agrees to purchase common shares (the "Shares") of Lyons Liquors Inc., a Nevada corporation (the "Company") at a price of US$0.10 per share to be recorded in the name of the Purchaser at the address set out above. Payment for the Shares is attached in the form of a check payable to Lyons Liquors Inc.
