In order to help Party A establish a complying legal person managerial structure, to improve operating mechanism, to enhance company quality by financial mechanisms such as mergers and acquisitions, so as to achieve restructuring, financing, and listing on the U.S. OTCBB market, and eventually list on the NASDAQ stock market or other senior international stock market, Party A and Party B hereby agree to have Party B provide coordination and advisory services during the stock listing and issuing process.
