THIS OPERATING AGREEMENT (this “Agreement”), to be effective as of the 18th day of December, 2009 (the “Effective Date”), is entered into by and between DARAMIC HOLDING, LLC, a Delaware limited liability company (the “LLC”), and MICROPOROUS HOLDING CORPORATION, a Delaware corporation (“MHC”). For purposes of this Agreement, unless the context clearly indicates otherwise, all capitalized terms shall have the meanings set forth in Article I of this Agreement.
