This REGISTRATION RIGHTS AGREEMENT (this “Agreement”) dated November 12, 2014 (this “Agreement”) is entered into by and among Truven Health Analytics Inc., a Delaware corporation (the “Company”), the guarantors listed in Schedule 1 hereto (the “Initial Guarantors”) and J.P. This Amended and Restated Limited Liability Company Agreement (the “Agreement”) of HBE Solutions, LLC, a Delaware limited liability company (the “Company”), is made and entered into effective as of November 12, 2014 (the “Effective Date”) by Truven Health Analytics, Inc., a Delaware corporation, as the sole Member (the “Member”), and amends and restates the Limited Liability Company Operating Agreement, dated as of March 10, 2013 and effective as of October 14, 2009, as amended by the Amendment #1 to the Operating Agreement, dated as of October 16, 2012, the Amendment #2 to the Operating Agreement, dated as of December 5, 2012, the Amendment #3 to the Operating Agreement, dated as of May 31, 2013, and the Amendment #4 to the Operating Agreement, dated as of May 7, 2014. On October 13, 2009, a Certificate of Formation for the Company was filed with the Delaware Secretary of State.
