This Exchange Agreement (the "Agreement") is made and entered into as of the 17th day of December, 2015 between SBH Associates, Inc., a company formed under the laws of State of Nevada (hereinafter referred to as the "Company", and Beecham Group, LLC (referred to as “Beecham”), a limited liability company formed under the laws of the State of Georgia, and the persons executing this Agreement listed on the signature page hereto (referred to collectively as the “Shareholders”) who own one hundred percent (100%) of the outstanding shares of Beecham.
