THIS AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”) is effective as of June 25, 2013 (the “Effective Date”), is made by Elicia Acquisition Corp., a Delaware corporation, as the sole member (the “Member”), for the purpose of providing for the organization and operation of CITYGRID MEDIA, LLC (the “Company”), a limited liability company formed pursuant to the Delaware Limited Liability Company Act, Title 6, Sections 18-101 et seq of the Delaware Code (the “Act”).
