This Third Amended and Restated Limited Liability Company Agreement (the “Third Amended Agreement”) is dated as of April 15, 2014, by and between FCX Oil & Gas Inc., a Delaware corporation, as the sole Member (the “Member”), and Freeport-McMoRan Oil & Gas LLC (the “Company”), amending and restating the Second Amended and Restated Limited Liability Company Agreement dated as of June 4, 2013 (the “Second Amended Agreement”), by and between the Member and the Company, and provides as follows:
