Pursuant to Rule 13d-1(k)(1) promulgated under the Securities Exchange Act of 1934, as amended, each of the undersigned acknowledges and agrees that the foregoing statement on Schedule 13D is filed on behalf of the undersigned and that all subsequent amendments to this statement on Schedule 13D shall be filed on behalf of the undersigned without the necessity of filing additional joint filing agreements. THIS ACKNOWLEDGEMENT AND MUTUAL WAIVER (this “Agreement”), is made and entered into as of October 16, 2013 by and among VERENIUM CORPORATION, a Delaware corporation (the “Company”), ATHYRIUM OPPORTUNITIES FUND (A) LP, a Delaware limited partnership (“AOFA”) and ATHYRIUM OPPORTUNITIES FUND (B) LP, a Delaware limited partnership (“AOFB”, and together with AOFA and their respective successors and permitted assigns, collectively referred to herein as the “Holders”). All capitalized terms used herein and not otherwise defined herein shall have the respective meanings provided such terms in the Warrants referred to below.

This Assignment and Acceptance (this “Assignment and Acceptance”) is dated as of October 11, 2013 (the “Effective Date”) and is entered into by and between Athyrium Opportunities Fund (B) LP (the “Assignor”) and Athyrium Opportunities Fund (A) LP (the “Assignee”). Capitalized terms used but not defined herein have the meanings provided in the Warrant identified below. The Additional Terms and Conditions set forth in Annex 1 attached hereto are hereby agreed to and incorporated herein by reference and made a part of this Assignment and Acceptance as if set forth herein in full.
