This Third Amendment to First Amended and Restated Limited Liability Company Agreement (this “Amendment”) of Heinz GP LLC (the “Company”), is made and entered into to be effective as of December 29, 2013 (the “Effective Date”), by H. J. Heinz Company, a Pennsylvania corporation (“Heinz”). As used in this Amendment, the term “Member” shall mean Heinz or any other person or entity who is admitted as a member of the Company in accordance with the First Amended and Restated Limited Liability Company Agreement made and entered into as of April 27, 2009, (the “Current LLC Agreement”) and the Delaware Act (in each case, so long as it is a member of the Company).

This First Amendment to Sixth Amended and Restated Limited Partnership Agreement (this “Amendment”) of H. J. Heinz Company, L.P. (the “Partnership”), is entered into to be effective as of April 28, 2014 (the “Effective Date”), by Heinz GP LLC., a Delaware limited liability company (“HGP”), as the General Partner, and the entities named on Schedule A, as the Limited Partners. Capitalized terms used and defined in this Amendment shall have the meanings assigned to them in this Amendment (including those in the recital paragraphs), and capitalized terms used in this Amendment and not defined herein shall have the meanings assigned to them in the Current LP Agreement (as defined below), in each case, unless the context clearly requires otherwise.

As used in this Amendment, the term “Member” shall mean Heinz or any other person or entity who is admitted as a member of the Company in accordance with the First Amended and Restated Limited Liability Company Agreement made and entered into as of May 4, 2006, as amended (the “Current LLC Agreement”) and the Delaware Act (in each case, so long as it is a member of the Company).

This Second Amendment to the Limited Liability Company Agreement (this “Amendment”) of HEINZ TRANSATLANTIC HOLDING LLC (the “Company”) is made and entered into to be effective for all purposes as of December 29, 2013, by Heinz Investment Company, a Delaware corporation (“HIC”). As used in this Amendment, the term “Member” shall mean HIC or any other person or entity who is admitted as a member of the Company in accordance with the Limited Liability Company Agreement made and entered into as of July 30, 2012, as amended (the “LLC Agreement”) and the Delaware Act, in each case, so long as it is a member of the Company. Capitalized terms used but not defined in this Amendment shall have the meanings given to them in the LLC Agreement.

As used in this Amendment, the term “Member” shall mean HTH or any other person or entity who is admitted as a member of the Company in accordance with the First Amended and Restated Limited Liability Company Agreement made and entered into as of January 9, 2009, as amended (the “Current LLC Agreement”) and the Delaware Act (in each case, so long as it is a member of the Company).
