THIS SHARE PURCHASE AGREEMENT (this "Agreement"), is made as of November 26, 2017, between ARDMORE SHIPPING CORPORATION, a Republic of the Marshall Islands corporation (the "Company"), and GA HOLDINGS LLC, a Republic of the Marshall Islands limited liability company ("Seller").

Reference is made to that certain Registration Rights Agreement dated as of June 13, 2016 (the "Registration Rights Agreement"), between Ardmore Shipping Corporation, a Marshall Islands corporation (the "Company") and GA Holdings LLC, a Marshall Islands limited liability company ("Assignor"). All capitalized terms not defined herein shall have the meanings ascribed to them in the Registration Rights Agreement.

Each of the undersigned hereby consents and agrees to this joint filing of the Schedule 13D/A for the Common Shares of Ardmore Shipping Corporation.
