FBR Capital Markets & Co. (“FBR”) has acted as the Company’s exclusive placement agent in connection with the Placement pursuant to the terms and conditions of that certain Engagement Letter, dated as of March 12, 2015, by and between the Company and FBR (the “Placement Agreement”).
