This Common Stock Purchase Agreement (“Agreement”), dated as of June 11, 2014, is entered into between and among American Shared Hospital Services, a California corporation (“Company”), Mr. Raymond C. Stachowiak and RCS Investments, Inc., an Illinois corporation (“RCS”), John F. Ruffle and Stanley S. Trotman Jr. Mr. Stachowiak and RCS, Mr. Ruffle and Mr. Trotman are referred together herein as “Investors.”

Pursuant to and in accordance with the Securities Exchange Act of 1934, as amended, and the rules and regulations thereunder (the “Exchange Act”), the undersigned hereby agree to the joint filing on behalf of each of them of any filing required by such party under Section 13 of the Exchange Act or any rule or regulation thereunder (including any amendment, restatement, supplement, and/or exhibit thereto) with respect to securities of American Shared Hospital Services, a California corporation, and further agree, in accordance with Rule 13d-1(k) under the Exchange Act, to the filing, furnishing, and/or incorporation by reference of this Joint Filing Agreement (this “Agreement”) as an exhibit thereto.
