This GUARANTEE AGREEMENT (the “Guarantee”), dated as of March 8, 2016, is executed and delivered by SOUTHERN CALIFORNIA EDISON COMPANY, a California corporation (the “Guarantor”), for the benefit of the Holders (as defined herein) from time to time of the Securities (as defined herein) of SCE TRUST V, a Delaware statutory trust (the “Trust”).
