This Third Amended and Restated Limited Liability Company Agreement (together with the schedules attached hereto, this “Agreement”) of Huntington Funding, LLC (the “Company”), is entered into as of November 9, 2016, by The Huntington National Bank, a national banking association, as the sole equity member (such Person and any substitute or additional member (but excluding any Special Member) being referred to as the “Member”), and Mr. Victor A. Duva and Mr. Daniel P. McMahon, as the Independent Directors (as defined on Schedule A hereto). Capitalized terms used and not otherwise defined herein have the meanings set forth on Schedule A hereto.
