This SHARE EXCHANGE AGREEMENT (this “Agreement”) is entered into as of this 15 day of January, 2018, by and among Capstone Systems, Inc., a Nevada corporation (hereinafter referred to as “CAPC”), Yunguhui Group Limited, a Republic of Seychelles business company (“YUNGUHUI GROUP”) and stockholders set forth in Schedule A, together holding 100% of the issued and outstanding capital stock of YUNGUHUI GROUP (each one is a Stockholder; together “Stockholders”).

In accordance with the “Contract Law of the People's Republic of China” and other relevant laws and regulations, this Lease Agreement has been concluded.
