This certifies that, for value received, TORCHLIGHT ENERGY RESOURCES, INC., a Nevada corporation (the “Company”), grants Anthion Management II, LLC or its registered assigns (the “Registered Holder”or “Holder”), whose address is 379 W. Broadway, Suite 311, New York, NY 10012, the right to subscribe for and purchase from the Company, at the Exercise Price (as defined herein), from and after 9:00 a.m. Central Standard Time on October 6, 2015 (the “Exercise Date”) and to and including 5:00 p.m., Central Standard Time, on October 6, 2018 (the “Expiration Date”), 1,250,000 shares, as such number of shares may be adjusted from time to time as described herein (the “Warrant Shares”), of the Company’s common stock, par value $.001 per share (the “Common Stock”), subject to the provisions and upon the terms and conditions herein set forth. The “Exercise Price” per share of Common Stock of the Company will be $2.03 per share.
