This STOCK PURCHASE AGREEMENT, dated as of July 15, 2022, is made by and between Michael Rosen (the “Seller”), and Ricks Investments, LLC (the “Buyer”). Buyer and the Seller are sometimes hereinafter collectively referred to as the “Parties.”

(formerly, Deseo Swimwear, Inc.), a corporation organized under the laws of the State of Nevada (the “Company”); CODY DEVELOPMENT CORP., a corporation organized under the law of the State of Louisiana (“Cody”) RICKS INVESTMENTS, LLC, a limited liability company organized under the laws of the State of Delaware (the “Majority Stockholder”) and JON DARMSTADTER, an individual (the “Consultant”).

THIS ASSET CONTRIBUTION AGREEMENT (this “Agreement”), dated as of the 24th day of March, 2023, is entered into by and among, DESEO SWIMWEAR INC., a Nevada corporation (“DSWR”); Blue Circle Enterprises B.V. (“Seller” or “Contributor”). DSWR, and Seller are referred to singularly as a “Party” and collectively as the “Parties.”

This CONTRIBUTION AGREEMENT (this “Agreement”) is made and entered into as of July 15, 2022, by and among Deseo Swimwear, Inc., a Nevada corporation (“Deseo”), Cody Development Corp., a Louisiana corporation (“Cody” or the “Company”), and Steven Ricks (the “Stockholder”). Deseo, the Company and the Stockholder are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”
