THIS ESCROW AGREEMENT (the “Agreement”) is made and entered into as of __________________________, by and among WELLSPRING AEROSPACE INTERNATIONAL, INC., a Nevada Corporation, (the “Company”), and BRANCH BANKING AND TRUST COMPANY, a North Carolina banking corporation (the “Escrow Agent”).
