This Funding and Governance Agreement (this “Agreement”) is entered into as of this 28th day of July, 2014 by and among Tinder, Inc., a Delaware corporation (the “Company”), lAC/InterActiveCorp, a Delaware corporation (“IAC”) and Sean Rad (the “Founder”).
