This PLEDGE AGREEMENT (this “Agreement”), dated as of May 4, 2017, is entered into by and among SAPINDA ASIA LIMITED, a company incorporated in the British Virgin Islands with registered number 1601893 (“Sapinda Asia”), LARS WINDHORST of _________________________ (“Windhorst” and together with Sapinda Asia, each a “Pledgor” and collectively, the “Pledgors”), and ADS SECURITIES LLC, a limited liability company incorporated under the laws of the United Arab Emirates whose principal place of business is at 8th Floor CI Tower, Corniche Road, Abu Dhabi, U.A.E., PO BOX 93894 (together with its successors and permitted assigns, the “Secured Party”), in light of the following:
