This REORGANIZATION AND STOCK PURCHASE AGREEMENT dated as of February 21, 2022 (this "Agreement") is by and among Cocoluv, Inc., a Nevada corporation (“Cocoluv”), Reymund Guillermo (the “Cocoluv Shareholder”), and Karbon-X Project Inc., a British Columbia corporation ("Acquiror") and shareholders of Acquiror (“Acquiror Shareholders”).

CocoLuv Inc. and Reymund Guillermo entered into a verbal agreement whereby Mr. Guillermo, the Company’s sole officer and director, has verbally agreed to loan the company funds to complete the registration process in the event that the Company depletes its current cash reserves prior to effectiveness of this registration statement, but we will require full funding to begin to implement our complete business plan.

THIS ACQUISITION AGREEMENT (herein after referred to as the "Agreement”) is entered into as of this 31st day of May 2023, by and among Karbon-X Project, Inc., a British Columbia corporation (“Karbon-X”), Silviculture Systems Corp., a Canadian corporation (“Silviculture”), and 4everforest Foundation, a Canadian not-for-profit corporation (“4everforest”), and the Shareholders of Silviculture set forth on the signature page hereof, for the purpose of development, marketing and sales of carbon and development of clean earth projects. This Agreement is intended to terminate and replace that certain Joint Venture Agreement between the parties entered into the 15th day of November, 2022.
