FISCAL AGENCY AGREEMENT (this “Agreement”), dated as of May 16, 2019, between the ASIAN INFRASTRUCTURE INVESTMENT BANK (the “Issuer”), and CITIBANK, N.A., LONDON BRANCH, as fiscal agent, principal paying agent and transfer agent (the “Fiscal Agent”, which expression shall include any successor to Citibank, N.A., London Branch, in its capacity as such).

The Asian Infrastructure Investment Bank (the “Bank”) proposes to issue the principal amount of its securities identified in Schedule I hereto (the “Securities”). The Securities are more fully described in the Registration Statement, the Preliminary Prospectus, any Issuer Free Writing Prospectus, the Pricing Disclosure Package and the Final Prospectus (each as defined in Section 1(a)). The Securities are to be issued pursuant to a fiscal agency agreement (the “Fiscal Agency Agreement”), in substantially the form filed as an exhibit to the Registration Statement, between the Bank and the Fiscal Agent named therein (the “Fiscal Agent”).
