Becton Dickinson Euro Finance S.à r.l., a Luxembourg private limited liability company (société à responsabilité limitée) having its registered office at L-1471 Luxembourg, 412 F, route d’Esch and registered with the Luxembourg trade and companies register (Registre de commerce et des sociétés, Luxembourg) under number B234229 (the “Company”) proposes, subject to the terms and conditions stated herein, to issue and sell to the underwriters named in Schedule I hereto (the “Underwriters”) an aggregate of (i) €600,000,000 principal amount of its 0.174% Notes due 2021 (the “2021 Notes”), (ii) €800,000,000 principal amount of its 0.632% Notes due 2023 (the “2023 Notes”) and (iii) €600,000,000 principal amount of its 1.208% Notes due 2026 (the “2026 Notes” and, together with the 2021 Notes and the 2023 Notes, the “Securities”).
