This ROLLOVER AND VOTING AGREEMENT (this “Agreement”) is entered into as of July 6, 2020 by and among (1) Square Limited, an exempted company incorporated under the laws of the Cayman Islands (“Parent”), and (2) certain shareholders (each, a “Shareholder” and collectively, the “Shareholders”) of Sky Solar Holdings, Ltd., an exempted company incorporated under the laws of the Cayman Islands (the “Company”).

THIS AMENDED & RESTATED CONSORTIUM AGREEMENT (the “Agreement”) is made as of July 6, 2020, by and among Japan NK Investment K.K., a joint stock company organized under the laws of Japan (“JNKI”), IDG-Accel China Capital L.P., a limited partnership organized under the laws of the Cayman Islands (“IDG CC”), IDG-Accel China Capital Investors L.P., a limited partnership organized under the laws of the Cayman Islands (“IDG CCI”, and together with IDG CC, the “IDG Members”), Jolmo Solar Capital Ltd., a limited company organized under the laws of the British Virgin Islands (“Jolmo”), CES Holding Ltd., a limited company organized under the laws of Hong Kong (“CES”), Jing Kang, a natural person and citizen of Canada, Bin Shi, a natural person and citizen of the People’s Republic of China, Sino-Century HX Investments Limited, an exempted company with limited liability organized under the laws of the Cayman Islands (“SCHI”), Kai Ding, a natural person and citizen of the People’s Republic of China
