THIS ASSIGNMENT AGREEMENT (the “Agreement”) is entered as of August 2, 2022 (the “Effective Date”), by and between Fintech Holdings Inc., (the “Assignor”) and Latin America Aviation S.à r.l., a limited liability company (société à responsabilité limitée) organized under the laws of Luxembourg (the “Assignee”) and Fintech Advisory Inc., a Delaware corporation, as Sales Coordinator (the “Sales Coordinator”). Each of the Assignor, the Assignee and the Sales Coordinator are hereinafter referred to collectively as the “Parties” and each individually, a “Party.”
