THIS ASSIGNMENT AND ASSUMPTION AGREEMENT (the "Assignment") is dated as of December 23, 2020 (the "Effective Date"), by and among HUNTSMAN INTERNATIONAL LLC, a limited liability company organized under the laws of the State of Delaware ("HI"), HUNTSMAN (HOLDINGS) NETHERLANDS B.V., a private limited liability company (besloten vennootschap met beperkte aansprakelijkheid) organized under the laws of the Netherlands ("HHN" and, together with HI, the "Assignors"), and SK PRAETORIAN HOLDINGS, LP, an exempted limited partnership organized under the laws of the Cayman Islands ("Assignee").

THIS OPTION AGREEMENT (this “Agreement”) is entered into as of August 28, 2020, by and between HUNTSMAN INTERNATIONAL LLC, a limited liability company organized under the laws of the State of Delaware (the “Seller”), and SK PRAETORIAN HOLDINGS, LP, an exempted limited partnership organized under the laws of the Cayman Islands (the “Purchaser”). Each of the Seller and the Purchaser is a “Party” and they are referred to collectively herein as the “Parties.”

In accordance with Rule 13d-1(k) of the Securities Exchange Act of 1934, as amended, the undersigned agree to the joint filing on behalf of each of them of a Statement on Schedule 13D (including any and all amendments thereto) with respect to the ordinary shares, $0.001 par value per share, of Venator Materials PLC, a public limited liability company incorporated under the laws of England and Wales, and further agree that this Joint Filing Agreement shall be included as an Exhibit to such joint filing. In evidence thereof, the undersigned, being duly authorized, hereby execute this Joint Filing Agreement as of December 23, 2020.
