AMENDED AND RESTATED SUBORDINATION AGREEMENT (this “Agreement”), dated as of April 16, 2024, among (a) WELLS FARGO BANK, NATIONAL ASSOCIATION, in its capacity as administrative agent and collateral agent (together with its successors and permitted assigns in such capacities herein, the “Senior Agent”) for the Senior Secured Parties referred to below, (b) MITHAQ CAPITAL SPC, a Cayman segregated portfolio company (solely in its capacity as the holder of the Subordinated Debt (as defined below), the “Subordinated Lender”), and (c) THE CHILDREN’S PLACE, INC., a Delaware corporation (as the “Lead Borrower”, together with the undersigned, as Borrowers and Guarantors as defined in the Senior Credit Agreement referred to below, collectively, the “Loan Parties”).
