This letter agreement (this “Agreement”) sets forth the commitment of Thoma Bravo Fund XIV Global, L.P., a Cayman Islands exempted limited partnership (the “Investor”), subject to the terms and conditions hereof, to purchase, or cause an assignee permitted by paragraph 3 of this Agreement to purchase, directly or indirectly, equity securities of Tahoe Bidco (Cayman), LLC, a Cayman Islands limited liability company (or, subject to the terms of this Agreement and the MoU, any permitted assignee, “Parent”), if, and only if, required pursuant to the terms hereto to fund certain obligations of Parent under the MoU (as defined below).
