THIS EMPLOYMENT AGREEMENT is made, effective as of the ninth (9th) day of December, 1994, by and between Central Maine Power Company, a Maine corporation with its principal place of business in Augusta, Maine (hereinafter referred to as the "Company"), and David E. This AMENDED AND RESTATED EMPLOYMENT AGREEMENT, dated as of June 14, 1999 (the "Agreement"), by and among Energy East Corporation, a New York corporation ("Energy East"), Central Maine Power Company, a Maine corporation or its successor (the "Company"), and Sara J. Burns (the "Executive"), amends and restates that certain Agreement dated June 30, 1997 and amended March 18, 1999, by and between the Company and the Executive (the "Prior Agreement").
