THIS CONSULTING AGREEMENT (this “Agreement”) dated September 30, 2021 (the “Effective Date”), is entered into by and between LIND CAPITAL PARTNERS MUNICIPAL CREDIT INCOME FUND, a Delaware statutory trust having its office and principal place of business at 500 Davis Center, Suite 1004, Evanston, Illinois 60201 (the “Fund”), and NORTHERN LIGHTS COMPLIANCE SERVICES, LLC, a Nebraska limited liability company having its office and principal place of business at 4221 North 203rd Street, Suite 100, Elkhorn, Nebraska 68022 (“NLCS”).

This amount is exclusive of brokerage costs, taxes, interest, borrowing costs such as interest and dividend expenses on securities sold short, Acquired Fund fees and expenses, other expenditures which are capitalized in accordance with generally accepted accounting principles, extraordinary expenses such as litigation and merger or reorganization costs, and other extraordinary expenses not incurred in the ordinary course of such Fund’s business.
