THIS AGREEMENT AND PLAN OF MERGER AND REORGANIZATION (this “Agreement”) is made and entered into as of June 29, 2023, by and among IMMUNOME, INC., a Delaware corporation (“Parent”), IBIZA MERGER SUB, INC., a Delaware corporation and wholly owned subsidiary of Parent (“Merger Sub”), and MORPHIMMUNE INC., a Delaware corporation (the “Company”). This SUPPORT AGREEMENT (this “Agreement”) is made as of June 29, 2023, by and between MORPHIMMUNE INC., a Delaware corporation (the “Company”), and the Person or Persons set forth on Schedule A hereto (“Stockholder”). Capitalized terms used but not otherwise defined herein shall have the respective meanings ascribed to such terms in the Merger Agreement.
