THIS AMENDED AND RESTATED OPERATING AGREEMENT (“Agreement”) is made effective as of May 2, 2022 (the “Execution Date”) by and among those Persons identified in Exhibit A. Such parties are sometimes hereinafter referred to individually by name, or as a “Member” or collectively as the “Members.” This Agreement sets forth the rights, duties, obligations, and responsibilities of the Members with respect to the Company and amends and restates the Company’s prior operating agreement, dated October 20th, 2021.
