In accordance with Rule 13d-1(k) promulgated under the Securities Exchange Act of 1934, as amended, the undersigned hereby agree to the joint filing with all other Reporting Persons (as such term is defined in the Schedule 13D referred to below) on behalf of each of them of a statement on Schedule 13D (including amendments thereto) with respect to the Class A ordinary shares, par value of US$0.00001 per share, of Q&K International Group Limited, and that this agreement may be included as an exhibit to such joint filing. This agreement may be executed in any number of counterparts, all of which taken together shall constitute one and the same instrument.

WHEREAS, an up to US$35,000,000 loan agreement, dated December 18, 2019 (as amended, restated or supplemented from time to time, the “Facility Agreement”), was entered into between the Company as borrower and the Subscriber as lender. As at the date of this Agreement, the outstanding amount (included any accrued but unpaid interest) owed by the Company to the Subscriber pursuant to the Facility Agreement is US$36,185,890.

Reference is hereby made to the US$35,000,000 loan agreement, dated December 18, 2019 (the “Loan Agreement”, as amended, restated or supplemented from time to time), between Q&K International Group Limited as borrower (the “Borrower”) and Azure Investments Ltd. as the lender (the “Lender”). Capitalized terms used but not defined herein shall have the meanings given to them in the Loan Agreement.
