This SECURITIES PURCHASE AGREEMENT (the “Agreement”), dated as of November 29, 2023, by and between Etao International Co. Ltd. , a Cayman Islands corporation, with principal executive offices located at 1460 Broadway, 14th Floor, New York, NY 10036, United States (the “Borrower” or “Company”), and GENERATING ALPHA LTD., a company domiciled and registered in Saint Kitts and Nevis (the “Investor”). Generating Alpha Ltd. is acting in association with EF Hutton LLC.
