The Company and the Placement Agent, each a “Party,” are collectively referred to as “Parties” and individually, a “Party.”

This amended agreement (the “Agreement”) is made and entered into by and between Company and Castle Placement, LLC (“Castle”) and amends and restates the agreement dated July 19, 2022. Company hereby engages Castle as an independent contractor to solicit a Transaction. “Transactions” shall be defined as: a proposed offering and sale of Investments (as defined below).
