This ESCROW AGREEMENT (this “Agreement”) dated as of this 19th day of July, 2023, by and among GB8 Residential, LLC, a Delaware corporation (the “Company”), having an address at 13901 Sutton Park Dr S, Jacksonville, FL 32224 (the “Company” or “Issuer”); Castle Placement, LLC, having an address at 1460 Broadway, New York, NY 10036 (“Placement Agent”), and WILMINGTON TRUST, NATIONAL ASSOCIATION (the “Escrow Agent”), with its principal corporate trust office at c/o Corporate Trust Office, 277 Park Avenue, 25th Floor, New York, NY 10172. The Company and the Placement Agent, each a “Party,” are collectively referred to as “Parties” and individually, a “Party.”

This agreement (the “Agreement”) is made and entered into by and between Company and Castle Placement, LLC (“Castle”). Company hereby engages Castle as an independent contractor to solicit a Transaction. “Transaction” shall be defined as: a proposed offering and sale of Investments (as defined below) in the Company that is governed by the provisions of the Regulation A exemption from registration for public offerings (“Reg A+”).
