The undersigned, BeLive Holdings, an exempted company incorporated under the law of the Cayman Islands (the “Company”), hereby confirms its agreement (this “Agreement”) with R.F. Lafferty & Co., Inc. (hereinafter referred to as “you” (including its correlatives) or the “Representative”), and with the other underwriters named on Schedule 1 hereto for which the Representative is acting as representative (the Representative and such other underwriters being collectively called the “Underwriters” or, individually, an “Underwriter”) as follows:

This INDEMNIFICATION AGREEMENT (this “Agreement”) is made and entered into this day of July 2023 and the effective date of this Agreement shall commence on the date that the Company’s Registration Statement on Form F-1 that is being filed for its Initial Public Offering is declared effective by the United States Securities and Exchange Commission (the “Effective Date”) by and between BeLive Holdings, a Cayman Islands exempt company the “Company”), and ______________ (the “Indemnitee”).
