MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding (hereinafter the "MOU") sets forth the basic terms of the proposed strategic alliance relationship regarding the telemedicine and healthcare mobility market between Comitas Telesalud S . A, a Spanish corporation (hereinafter "COMITAS"), and Neighpart International, Corp . , a Florida corporation (hereinafter "NIC") . Throughout this document, COMITAS and NIC are individually referred to as a "Party" and collectively as the "Parties" .
