This PLACEMENT AGENT AGREEMENT, dated as of June 10, 2024 (this “Agreement”), is entered into by and among GOLDMAN SACHS REAL ESTATE FINANCE TRUST INC, a corporation formed under the laws of the State of Maryland (the “Company”), and GOLDMAN SACHS & CO. GS Fund Holdings, L.L.C., a Delaware limited liability company (“GSFH”), or any entity that is controlled by, controls or is under common control with GSFH (collectively, “Goldman Sachs”), as of the 4th day of October, 2024, agrees to purchase a number of Non-Voting Common Shares (the “Securities”) of Goldman Sachs Real Estate Finance Trust Inc, a Maryland corporation (the “Company”), in an aggregate amount equal to $100,000,000 (the “Commitment”) pursuant to the terms and conditions of this Subscription Agreement.
