This First Amendment (this “Amendment”) to the Amended and Restated Limited Liability Company Agreement of AleAnna Energy, LLC, a Delaware limited liability company (the “Company”), is entered into to be effective as of October 5, 2011, is adopted, executed and agreed to, for good and valuable consideration, by the Company and the Members.
