This LIMITED LIABILITY COMPANY AGREEMENT OF ARRIVED HOMES 5, LLC, is dated as of July 12, 2024. Capitalized terms used herein without definition shall have the respective meanings ascribed thereto in Section 1.1, Section 3.4 and Article VIII.

In accordance with the Limited Liability Company Agreement of Arrived Homes 5, LLC, a Delaware series limited liability company (the “Company”), dated July 12th, 2024 (the “Agreement”) and upon the execution of this Series Designation by the Company and Arrived Fund Manager, LLC in its capacity as Managing Member of the Company and of Arrived Series [*], a series of the Company (“Series [*]”), this Series Designation shall be attached to, and deemed incorporated in its entirety into, the Agreement as the “Arrived Series [*] Designation Exhibit.”

This agreement (together with exhibits and schedules, the “Agreement”) is entered into by and between Arrived Homes 5, LLC (“Client”), a Delaware Company, and Dalmore Group, LLC., a Delaware Limited Liability Company (“Dalmore”).
