This REGISTRATION RIGHTS AGREEMENT, dated as of September 5, 2024 (this “Agreement”), is entered into by and among FirstEnergy Transmission, LLC, a Delaware limited liability company (the “Company”), and BofA Securities, Inc., Mizuho Securities USA LLC, Morgan Stanley & Co. This FOURTH AMENDED & RESTATED LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”) of FirstEnergy Transmission, LLC (the “Company”) is made and entered into as of March 25, 2024 (the “Effective Date”), by and among the Company, FirstEnergy Corp., an Ohio corporation (the “FE Member”) and North American Transmission Company II L.P. (formerly known as North American Transmission Company II LLC), a Delaware limited partnership (the “Investor Member”). The Company, the FE Member and the Investor Member are each sometimes referred to herein as a “Party” and, together, as the “Parties”.
