THIS AGREEMENT is entered into as of the 5th day of November, 2001 by and between Dresdner RCM Global Investors LLC, a Delaware limited liability company (the "Adviser"), and Bergstrom Capital Corporation, a Delaware corporation (the "Client"): 1.
