This Note is the Term Note referred to in, and issued pursuant to, that certain Loan and Security Agreement dated as of May 20, 2009 by and among the Borrower and Lender and other parties thereto (as hereinafter amended from time to time, the “Loan and Security Agreement”), and is entitled to the benefit and security of the Loan and Security Agreement. All of the terms, covenants and conditions of the Loan and Security Agreement and other Loan Documents are hereby made a part of this Note and are deemed incorporated herein in full. THIS LOAN AND SECURITY AGREEMENT is made and entered into as of May 20, 2009, by and among CLAYTON BANK & TRUST (hereinafter referred to as “Lender”), a Tennessee chartered state banking institution whose principal office is located in Knoxville, Tennessee, and MAJESTIC 21 PARTNERSHIP (hereinafter referred to as “Borrower”), a Florida general partnership comprised 2lst MORTGAGE CORPORATION (hereinafter referred to as “21st Mortgage” and sometimes as “Servicer” or “Pledgor”), a Delaware corporation, and MAJESTIC HOMES, INC. (“Majestic Homes”), a Florida corporation. 21st Mortgage joins in this Agreement as a general partner of the Borrower and for the other purposes set forth herein. Majestic Homes joins in this Agreement as a general partner of the Borrower and for the other purposes set forth herein. NOBILITY HOMES, INC.
