Reference is made to the Agreement and Plan of Merger dated as of December 19, 2000, by and among InfoAmerica, Inc., a Colorado corporation, IFOA Acquisition Corp., a California corporation, Technical Services Broadband, Inc., a California corporation and Joseph R.
