Posco and Dongbu Metal Co., Ltd. signed an agreement to establish a joint-venture firm, which mainly produces melted high-quality FeMn to manufacture high Mn steels for automobiles and plates. Posco would hold 65 percent stake in this firm.

POSCO and SK Energy Co., Ltd. (“SK Energy”) signed a memorandum of understanding with the Korean government to develop clean coal technologies, including synthetic natural gas (produced through a coal-to-gas conversion process utilizing low-quality coal). Domestic production of synthetic natural gas is expected to substantially reduce Korea’s dependence on imported liquefied natural gas.

On June 15, 2015, a Share Purchase Agreement (“Agreement”) has been entered into by and among POSCO, POSCO ENGINEERING & CONSTRUCTION CO., LTD. (“POSCO E&C”) and Public Investment Fund of the Ministry of Finance in Saudi Arabia (“PIF”) for the (i) sale of POSCO’s common stock (10,802,850 shares) in POSCO E&C to PIF, for approximately 842.6 billion Korean Won; and (ii) POSCO E&C’s issuance and sale of new shares of common stock (5,083,694 shares) to PIF, for approximately 396.5 billion Korean Won. The Agreement is expected to close in August 2015.

POSCO, VALE S.A. and DONGKUK STEEL MILL CO., LTD. has entered into a MEMORANDUM OF AGREEMENT for their corresponding equity participation in a joint venture for the development of an integrated steel mill complex in the industrial district of Pecém, State of Ceará, for the production of carbon steel slabs.

On July 6, 2011, POSCO entered into a share purchase agreement with Mr. Prayudh Mahagitsiri, chief executive officer and the largest shareholder of Thainox Stainless Public Co., Ltd. (the “Company”), for the purchase and acquisition of certain additional equity interest in the Company (as of date, POSCO currently owns 15.39% of the issued and outstanding shares of the Company) (“Share Purchase Agreement”).

POSCO Australia Pty Limited (POSCO Australia, ‘POSA’) and Cockatoo Coal Limited (‘Cockatoo’) have reached an agreement under which POSA will hold a 19.99% interest in the Cockatoo for 25 million Australian dollar.

Cooperation Agreement between POSCO and Roy Hill Holdings Pty. Ltd.

On January 14, 2010, POSCO and Roy Hill Holdings Pty. Ltd. (thereafter “Company”) entered into a Cooperation Agreement under which POSCO shall (i) support the project feasibility study, (ii) make contribution for the port dredging costs, and (iii) acquire conversion right of the Company constituting 3.75% of the total issued and outstanding shares of the Company. Upon satisfactory completion of the project feasibility study, POSCO will acquire and own a total of 15% of the total issued and outstanding shares of the Company, including exercise of 3.75% equity conversion right.

POSCO has entered into a shares purchase agreement with Chun Jung-do(chairman and the largest shareholder of SUNG JIN GEOTEC Co., Ltd.), Mirae Asset MAPS Investment Management Co., Ltd. and Mirae Asset Venture Investment Co., Ltd. on March 17, 2010. POSCO is planning to acquire 12,345,110 shares of SUNG JIN GEOTEC Co., Ltd. (40.4% stake in the SUNG JIN GEOTEC Co., Ltd.’s outstanding shares) worth KRW 159,251,919,000. The shares purchase agreement will be effective based on resolution of Board of Directors of POSCO and approval for mergers and acquisitions of Fair Trade Commission.

Memorandum of Agreement with Chongqing Iron and Steel(Group)

On September 22, POSCO signed a memorandum of agreement with Chongqing Iron and Steel (Group) Company Limited in China (“Chongqing”) for the construction of a FINEX integrated steelworks with annual crude steel production capacity of 3 million tons (“Steelworks”). The Steelworks will be jointly owned and operated by POSCO and Chongqing.

REGARDING ESTABLISHMENT OF THE SECOND STEELWORKS IN INDIA

POSCO and the Government of the State of Karnataka entered into a memorandum of understanding in June 2010 to collaborate in the construction of an integrated steel mill in Karnataka, India (“Project”).

POSCO has entered into a memorandum of agreement with PT Krakatau Steel, an Indonesian state-owned company, to build an integrated steelwork in Indonesia. POSCO and PT Krakatau Steel have agreed to build an integrated steelwork in Cilegon City, Java, Indonesia with a total annual production capacity of 6 million tons of steel products. The first phase of construction for the establishment of a steel mill with an annual production capacity of 3 million tons of steel products is expected to commence in 2011 and to be completed in 2013.

(9,821,236 shares), Shinyoung Securities Co., Ltd. (7,189,965 shares), and Shinhan Investment Corp. (1,798,799 shares) for approximately 418.5 billion Korean Won (“Transaction”). The Transaction is expected to close on March 18, 2015.
